The Police Jury of the Parish of Rapides, State of Louisiana, met in Regular Session at its regular meeting place, the Police Jury Room of the Parish Cou rthouse, 701 Murray Street, Alexandria, Louisiana, on Monday, November 13 , 2023, at three (3:00) o'clock p.m. (Central Standard Time).

There were present: Joseph “Joe” Bishop, President, Sean McGlothlin, Vi ce President and Police Jurors: Davron “Bubba” Moreau, Rusty Wilder, Oliver “Ollie” Overton, Jr., David Johnson and Jay Scott.

Absent: Theodore Fountaine, III and Craig Smith

Also present were: Ms. Theresa Pacholik, Secretary/Treasurer; Mr. Cory Ashmore, Public Works Director; Mr. Shane Trapp, Building Superintendent; Ms. Betty Joe Bourgeois, Sales & Use Tax Administrator; Ms. Linda Sanders, Civ il Service Director; Marla West, Purchasing Agent; Chief Jody Glorioso, FD#2; Judge Greg Beard; Mr. Wesley Miller, Pan American Engineer; Mr. Matt Johns, RAPC Executive Director; Mayor Herman Williams, Town of Lecompte; Mayor David Butler, Town of Woodworth; and Mr. Greg Jones, Legal Counsel.

The invocation was given by Mr. David Johnson.

The Pledge of Allegiance was led by Mr. Cory Ashmore.

The Police Jury of the Parish of Rapides, State of Louisiana, was duly con vened as the governing authority of said Parish by Hon. Joe Bishop, President, who welcomed all present and then stated that the Police Jury was ready for the first item of business.

President Joe Bishop asked if there were any public comments on any agenda items, to which there was no response.

President Joe Bishop asked if there were any juror comments. President Bishop stated he received a phone call before the meeting informing him Mr. Theod ore Fountaine, III had passed away today.

On motion by Mr. Bubba Moreau, seconded by Mr. David Johnson t o adopt the minutes of the Rapides Parish Police Jury held in Regular Session on October 9, 2023, as published in the Official Journal. On vote the motion carried.

On motion by Mr. Ollie Overton, seconded by Mr. Rusty Wilder that approved bills be paid. On vote the motion carried.

On motion by Mr. Jay Scott, seconded by Mr. David Johnson to open the Citizen Participation Public Hearing for any comments on the LA Ho metown Revitalization Program and LA Restore Resilient Communities Infrast ructure Program. On vote the motion carried.

Ms. Theresa Pacholik stated the Police Jury was awarded LA Hometow n Revitalization Program and LA Restore Resilient Communities Infrast ructure Program Grant and this hearing is to allow the public to provide comments on the two (2) programs and any projects that would qualify under the grants.

There being no comments, motion by Mr. Sean McGlothlin, seconded by Mr. Bubba Moreau the public hearing was closed. On vote the motion carried.

On motion by Mr. Jay Scott, seconded by Mr. Sean McGlothlin to waive the thirty (30) day announcement rule and reappoint Mr. Matt Johns to the Regional Steering Committees of Provisional Watersheds 1, 2, 4, and 5 for a one (1) year term. New term will expire December 31, 2024. On vote the motion carried.

Mr. Wesley Miller recommended the Jury postponing the acceptance of the Bethel Road Bridge project due to the delay of materials. He will update the Jury on status prior to the December meeting. On vote the motion was tabled until December meeting. REGULAR MEETING NOVEMBER 13, 2023

BE IT RESOLVED by the Police Jury of the Parish of Rapides, State of Louisiana (the "Governing Authority"), acting as the governing authority of (i) Fire Protection District Number 9 of the Parish of Rapides, State of Lou isiana, (ii) Service Area No. 1 of Fire Protection District No. 11 of the Parish of Rapides, State of Louisiana, (iii) Road District Number 7A of Rapides Parish, State o f Louisiana, (iv) Road District No. 10A of the Parish of Rapides, State of Louisiana and (v) Road District Number 36 of Rapides Parish, State of Louisiana (the "Districts"), that:

SECTION 1. Canvass. This Governing Authority does now proceed in open and public session to examine the official tabulations of vote s cast at the special elections held in (i) Fire Protection District Number 9 of the Parish of Rapides, State of Louisiana, (ii) Service Area No. 1 of Fire Protection District No. 11 of the Parish of Rapides, State of Louisiana, (iii) Road District Number 7A of Rapides Parish, State of Louisiana, (iv) Road District No. 10A of the Parish of Rapid es, State of Louisiana and (v) Road District Number 36 of Rapides Parish, State o f Louisiana, on SATURDAY, OCTOBER 14, 2023 (the "Elections"), to authorize the renewal or rededication of special taxes therein pursuant to the followi ng propositions (the "Propositions"): FIRE PROTECTION DISTRICT NUMBER 9 PROPOSITION (MILLAGE RENEWAL) Shall Fire Protection District Number 9 of the Parish of Rapides, State of Louisiana (the “District”), continue to levy and collect a tax of 24.02 mills on all property subject to taxation in the District ( an estimated $153,000 reasonably expected at this time to be collected from the levy of the tax for an entire year), for a period of 10 years, beginnin g with the year 2026 and ending with the year 2035, for the purpose of acquiring, constructing, improving, maintaining and operating fi re protection and emergency medical service facilities, vehicles and equipment, including both movable and immovable property, that are to be used to provide fire protection and medical services i n the District?

SERVICE AREA NO. 1 OF FIRE PROTECTION DISTRICT NO. 11 PROPOSITION (MILLAGE RENEWAL) Shall Service Area No. 1 of Fire Protection District No. 11 of the Parish of Rapides, State of Louisiana (the “District”), continue to levy and collect a special tax of 53.72 mills on all property subject to taxation in the District (an estimated $181,800 reasonably expected at this time to be collected from the levy of the tax for an entire year), for a period of 10 years, beginning with the year 2025 and ending with the year 2034, for the purpose of constructing, operating and maintaining fi re protection facilities and paying the costs of obtaining wa ter for fire protection purposes?

ROAD DISTRICT NUMBER 7A

PROPOSITION (MILLAGE EXTENSION & REDEDICATION)

Shall Road District Number 7A of Rapides Parish, State of Louisiana (the “District”), continue to levy a special tax of 5.56 mills (the “Tax”) on all the property subject to taxation in the District (a n estimated $849,500 reasonably expected at this time to be collected from the levy of the Tax for an entire year), for an additional 10 years through the year 2035, and shall the proceeds of the Tax heretofore and hereafter collected be rededicated for the purpose of constructing, improv ing, maintaining and keeping in repair the public roads, highways, b ridges and related drainage facilities within the District, including related ditching and drainage and equipment?

ROAD DISTRICT NO. 10A

PROPOSITION (MILLAGE EXTENSION & REDEDICATION)

Shall Road District No. 10A of the Parish of Rapides, State of Louisiana (the “District"), continue to levy a special tax of 10.04 mills (the “Tax”) on all the property subject to taxation in the District (a n estimated $1,496,000 reasonably expected at this time to be collected from the levy of the Tax for an entire year), for an additional 10 years throu gh the year 2035, and shall the proceeds of the Tax heretofore and hereafter collected be rededicated for the purpose of constructing, improv ing, maintaining and keeping in repair the public roads, highways, b ridges and related drainage facilities within the District, including r elated ditching and drainage and equipment?

This Governing Authority does further proceed to examine and can vass the returns of the Elections thereof.

SECTION 2. Election Results. According to the official certified tabulation of votes cast at said Elections,

(i) there was a total of 399 votes cast IN FAVOR OF Fire Protection District Number 9 Proposition and a total of 159 votes cast AGAINST Fire Protection District Number 9 Proposition, resulting in a majority of 240 votes cast IN FAVOR OF Fire Protection District Number 9 Proposition; (ii) there was a total of 252 votes cast IN FAVOR OF Service Area No. 1 of Fire Protection District No. 11 Proposition and a total of 76 votes cast AGAINST Service Area No. 1 of Fire Protection District No. 11 Proposition, resulting in a majority of 176 votes cast IN FAVOR OF Service Area No. 1 of Fire Protection District No. 11 Proposition; District Number 7A Proposition and a total of 456 votes cast AGAINST Road District Number 7A Proposition, resulting in a Proposition; District No. 10A Proposition and a total of 1,457 votes cast AGAINST Road District No. 10A Proposition, resulting in a majority o f 1,297 votes cast IN FAVOR OF Road District No. 10A Proposition; and District Number 36 Proposition and a total of 902 votes cast AGAINST Road District Number 36 Proposition, resulting in a majority of 247 votes cast IN FAVOR OF Road District Number 36 Proposition.

The Propositions were therefore duly CARRIED by a majority of the votes cast by the qualified electors voting at the Elections.

SECTION 3. Promulgation of Election Result. The results of said elections shall be promulgated by publication in the manner provided by l aw, after receipt from the Secretary of State’s office of the actual costs of the elections, as required by §18:1292 of the Louisiana Revised Statutes of 1950, as amended.

SECTION 4. Declaration. The foregoing results of the Elections are hereby declared by this Governing Authority and shall be published as required by law.

SECTION 5. Procès Verbal. A Procès Verbal of the canvass of the returns of the Elections shall be made and a certified copy thereof shall be forwarded to the Secretary of State, Baton Rouge, Louisiana, who shall record the same in his office; another certified copy thereof shall be forwarded to the Clerk of Court and Ex-Officio Recorder of Mortgages in and for the Parish of Rapides, who shall reco rd the same in the Mortgage Records of said Parish; and another copy thereo f shall be retained in the archives of this Governing Authority.

A resolution giving preliminary approval to the issuance of not to exceed Four Hundred Fifty Thousand Dollars ($450,000) of Limited Tax Bonds of Fire Protection District Number 6 of the Parish of Rapides, State of REGULAR MEETING NOVEMBER 13, 2023

Louisiana; making application to the State Bond Commission for approval of said Bonds; and providing for other matters in connection therewith.

WHEREAS, Part II of Chapter 4 of Subtitle II of Title 39 of the L ouisiana Revised Statutes of 1950, as amended, and other constitutio nal and statutory authority (the "Act"), authorizes political subdivisions to borro w money in anticipation of revenues to be realized from special taxes to b e used only for the purposes for which the tax was voted; and

WHEREAS, pursuant to the Act, and subject to the approval of the State Bond Commission, the Police Jury of the Parish of Rapides, State of Louisiana, acting as the governing authority of Fire Protection District Number 6 of th e Parish of Rapides, State of Louisiana (the "Issuer"), desires to incur debt and issue not exceeding Four Hundred Fifty Thousand Dollars ($450,000) of Limited Tax Bonds (the "Bonds"), in one or more series, for the purpose of acquiring, constructing, and improving fire protection facilities, vehicles and equipment, and paying the costs of issuance of the Bonds, said Bonds to be payable from an irrevocable pledge and dedication of the funds to be derived by the Issuer from the levy and collection of a special ad valorem tax of 20.02 mills (such rate being subject to adjustment from time to time due to reassessment) authorized at an election held on December 11, 2021, which the Issuer is authorized to impose and collect each year through 2032 (the "Tax"); and

WHEREAS, the Issuer has no outstanding bonds or other obligatio ns of any kind or nature payable from or enjoying a lien on the revenues of the Tax; and

WHEREAS, the Issuer desires to make formal application to the State Bon d Commission for approval of the issuance of the Bonds;

NOW, THEREFORE, BE IT RESOLVED by the Police Jury of the Parish of Rapides, State of Louisiana (the "Governing Authority"), acting as the governing authority of Fire Protection District Number 6 of the Parish of Rapi des, State of Louisiana (the "Issuer"), that:

SECTION 1. Preliminary Approval of Bonds. Preliminary approval is given to the issuance of not exceeding $450,000 of Limited Tax Bond s (the "Bonds") of the Issuer, pursuant to Part II of Chapter 4 of Subtitle II of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutio nal and statutory authority, for the purpose of acquiring, constructing, and improv ing fire protection facilities, vehicles and equipment (the "Project"), and paying the costs of issuance of the Bonds, said Bonds to be payable from an irrevocable pled ge and dedication of the funds to be derived by the Issuer from the levy and collection of the Tax. The Bonds will be issued at an interest rate not exceeding 7% per an num, shall mature not later than March 1, 2033, and shall have such additional terms and provisions as may be determined by the Governing Authority.

SECTION 2. State Bond Commission Approval. Application is hereby made to the State Bond Commission, Baton Rouge, Louisiana, for approval of the issuance and sale of the Bonds and for consent and authority to proceed with the issuance and sale of the Bonds as provided above, and Bond Counsel is direc ted to make REGULAR MEETING NOVEMBER 13, 2023

application to the State Bond Commission in accordance with the foregoing on behalf of the Issuer.

By virtue of applicant/issuer’s application for, acceptance and uti lization of the benefits of the Louisiana State Bond Commission’s approval(s) resolved and set forth herein, it resolves that it understands and agrees that such approval(s) are expressly conditioned upon, and it further resolves that it understands, agrees and binds itself, its successors and assigns to, full and continui ng compliance with the "State Bond Commission Policy on Approval of Proposed Use of Swaps, or other forms of Derivative Products Hedges, Etc.", adopted by the Commission on July 20, 2006, as to the borrowing(s) and other matter(s) subject to the approval(s), including subsequent application and approval under said Policy of the implementation or use of any swap(s) or other product(s) or enhancement(s) covered thereby.

SECTION 3. Employment of Bond Counsel. This Governing A uthority finds and determines that a real necessity exists for the employment of special counsel in connection with the issuance of the Bonds, and accordingly, Foley & Judell, L.L.P., of New Orleans, Louisiana, as Bond Counsel, is hereby employed to do and perform work of a traditional legal nature as bond counsel with respect to the issuance and sale of said Bonds. Said Bond Counsel shall prepare and submit to this Governing Authority for adoption all of the proceedings incidental to the authorization, issuance, sale and delivery of such Bonds, shall counsel and advi se this Governing Authority as to the issuance and sale thereof and shall furnish its opinions covering the legality of the issuance of the Bonds. The fee of Bond Couns el for each series of bonds shall be fixed at a sum not exceeding the fee allowed by the Attorney General’s fee guidelines for such bond counsel work and base d on the amount of said Bonds actually issued, sold, delivered and paid for, plus "out- of-pocket" expenses, said fees to be contingent upon the issuance, sale and delivery of said Bonds. The President is hereby authorized and directed to execut e, and this Governing Authority hereby agrees to and accepts the terms of, th e engagement letter of Bond Counsel appended hereto. A certified copy of this resolution shall be submitted to the Attorney General of the State of Louisiana for his written approval of said employment and of the fees herein designated, and the Secretar y-Treasurer is hereby empowered and directed to provide for payment of the w ork herein specified upon completion thereof and under the conditions herein enumerated without further approval of this Governing Authority.

SECTION 4. Sale of Bonds. The Bonds are hereby authorized to be sold to a purchaser, and the President and/or Secretary-Treasurer are each hereby authorized to execute a Commitment Letter, in form and substance satisfactory to Bond Counsel and Municipal Advisor to the Issuer, provided the sale of the Bo nds is within the parameters set forth in Section 1 hereof.

SECTION 5. Appointment of Municipal Advisor. The Issuer hereby Argent Advisors, Inc., to act as its Municipal Advisor ("MA") pursuant to the provisions of the Dodd-Frank Wall Street Reform and Consumer Protection Act and the rules promulgated thereunder by the Securities and Exchange Commission. The Issuer hereby acknowledges that it is represented by the MA and will rely upon the advice of the MA with respect to the Bonds. The fee to be paid the MA shall be payable solely from the proceeds of the Bonds when and if issued, and th e amount thereof shall be subject to the approval of the State Bond Commissi on. may require with respect to the engagement.

SECTION 6. Declaration of Official Intent. Prior to the delive ry of the Bonds, the Issuer presently intends and reasonably expects tha t it may pay all or a portion of the costs of the Project from legally available funds in its General Fund. Upon the issuance of the Bonds, the Issuer presently intends and reasonably expects to reimburse any such expenditures for the Project from a portion of the proceeds of the Bonds, provided that such reimbursement shall be in an amoun t not currently reasonably expected to exceed the maximum principal amount of the Bonds set forth in Section 1 hereof. Any such allocation of proceeds of the Bonds for reimbursement will be with respect to capital expenditures (as defined in Reg. 1.150-1(b)) and will be made not later than 3 years after the later of (i) the date such expenditure was paid or (ii) the date on which the Project was placed in service or abandoned. This Section is intended to be a declaration of official intent within the meaning of Reg. 1.150-2, and certain terms used in this Section shall have the meaning giv en in such Regulation. For purposes of this Section, the Project includes the acquisition of fire truck(s) for the Issuer. All of the expenditures covered by this Sect ion were or will be made on and after the date which is 60 days prior to the ef fective date of this Resolution or as otherwise allowed by Reg. 1.150-2 which inclu des, among other things, an exception for "preliminary expenditures" as defined therein.

REGULAR MEETING

NOVEMBER 13, 2023

WHEREAS, the Board of Commissioners of Fire Protection District N o. 18 of the Parish of Rapides, State of Louisiana (the "Issuer"), by resolution adopted on November 10, 2023, proposes to issue not exceeding $700,00 0 of Limited Tax Bonds (the "Bonds"). The Bonds will bear interest at a rate of not exceeding 6% per annum and shall mature not later than March 1, 2028. The Bonds will be issued for the purpose of (i) acquiring and constructing fire protection facilities, vehicles and equipment and (ii) paying the costs of issuance of the Bonds. T he Bonds will be issued under the authority of Part II of Chapter 4 of Subtitle II of Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitut ional and statutory authority.

WHEREAS, it is now the desire of the Police Jury of the Parish of Ra pides, State of Louisiana, to approve the issuance of the Bonds;

NOW, THEREFORE, BE IT RESOLVED by the Police Jury of the Parish of Rapides, State of Louisiana, acting as the governing authority of the Parish of Rapides, State of Louisiana, that:

SECTION 1. In compliance with the provisions of Article VI, Sect ion 15 of the Constitution of the State of Louisiana of 1974, and in accordance with the request of the Board of Commissioners of the Issuer, this Police Jury hereby approves the issuance and sale of not exceeding $700,000 of Limited Tax B onds of the Issuer, said Bonds to be issued under the authority and for the pur poses stated in the preamble hereto.

SECTION 2. Neither the Parish nor this Police Jury shall be l iable in any manner for the payment of the Bonds.

On vote the motion carried.

On motion by Mr. Ollie Overton, seconded by Mr. Rusty Wilder to accept the donation of property from Louisiana Water Company for Rapides Parish Fire District No. 18 and authorize the President to sign all necessary documents. On vote the motion carried.

the Purchasing Agent to receive price quotes for a Model 1200/18 00, Hydraulic Truck Conveyor, for use at the Rapides Parish Public Works Department. On vote the motion carried.

On motion by Mr. Sean McGlothlin, seconded by Mr. David Johnson to award bid for asbestos remediation under Work Order No. 12 – ARPA – Courthouse Administrative Annex-Demolition and Clearance of Dilapidated Struct ure (1209 Eighth Street), to the lowest prospective bidder, Advanced Environ mental Consulting, LLC in the amount of $26,275.00, as recommended by Pan American Engineers, LLC. On vote the motion carried.
