NOTICE OF SPECIAL POLICE JURY MEETING
- To review and/or approve the Intergovernmental Agreement with the City of Alexandria for the Rapides Parish Coliseum Parking Lot.
- Any other business that may properly come before the Police Jury.

There were present: Joe Bishop, President, Davron “Bubba” Moreau, Vice President, and Police Jurors, Craig Smith, Theodore Fountaine, Jr., Richard Vanderlick, Oliver “Ollie” Overton, Sean McGlothlin, Richard Billings and Scott Perry Jr., ,
Also present were Mr. Dennis Woodward, Public Works Director; Mr. Shannon Trapp, Courthouse and Jail Building Superintendent; Chief Randy McCain, Fire District No. 2; Mr. Thomas O. Wells, Legal Counsel; and Ms. Laurel Smith, Secretary.
The invocation was given by Mr. Scott Perry.
The Pledge of Allegiance was led by Mr. Bubba Moreau.
The Police Jury of the Parish of Rapides, State of Louisiana, was duly convened as the governing authority of said Parish by Hon. Joe Bishop, President, who welcomed all present and then stated that the Police Jury was ready for the transaction of business.
SPECIAL MEETING
DECEMBER 23, 2014
The President asked if there was any public comment on any agenda item, to which there was no response.
The first item on the agenda was to review and/or approve the Intergovernmental Agreement with the City of Alexandria for the Rapides Parish Coliseum Parking Lot.
Mr. Joe Bishop requested Mr. Chris Guillet, Legal Counsel for the Coliseum Parking Lot issue, to give a brief update.
Mr. Guillet stated the letter he furnished each Juror has more detail as to where this issue is at. The City of Alexandria (COA) passed an ordinance to sell the coowned tract of land at the Coliseum. The Police Jury declined to accept the terms in the ordinance and elected to file suit. After the suit was filed, there was a counter-offer prepared to the COA. This is the Police Jury’s proposal on how to resolve the Parking Lot purchase. The COA held a meeting and discussed and ultimately passed an amended ordinance. Mr. Guillet stated Mr. Bishop, himself and several other Police Jurors appeared at the meeting and objected to some of the language in the proposed amendment. The entire discussion took place largely in the Legal Committee Meeting and another lengthy discussion took place at the actual City Council Meeting. Mr. Guillet further stated that all of these discussions are on the COA website, if you want to find out what was discussed in the City Council’s meeting. Through discussions in the meeting, the COA, on the floor, changed some of these provisions and took out some of the things requested of them. They agreed with some of the Police Jury’s positions, but not all. We are waiting for the COA to provide a written contract. In fairness, the COA has accepted some of the points that the Jury has asked for and some of those points are reflected in the agreement. The agreement raises some questions. One is the definition of attachment “A”. On page 5, Article 3 Section 3.2, it defines the project and this agreement basically says the Police Jury has, in somewhat over simplified terms, four years from the start date to build the renovations and achieve what’s called substantially complete. If the Police Jury does not achieve substantial completion within four years of that start date, when the notice is issued to the contractor to proceed, then the COA can do one of two things. They can repurchase their interest in the parking lot tract for $1.1 million dollars or at their option or require the Police Jury to pay an additional $700,000.
Discussion ensued.
On motion by Mr. Richard Billings, seconded by Mr. Ollie Overton, to add the following item to the agenda:
Motion to go into Executive Session to discuss the pending lawsuit Rapides Parish Police Jury vs. City of Alexandria, Suit No. 251,373-F.
A roll call vote was called to add the following item to the agenda. On motion by Mr. Ollie Overton, seconded by Mr. Bubba Moreau, to go into Executive Session at 9:20 a.m. On vote the motion carried.
On motion by Mr. Ollie Overton, seconded by Mr. Craig Smith, to come out of Executive Session at 10:14 a.m. On vote the motion carried.
On motion by Mr. Ollie Overton, seconded by Mr. Richard Billings, to instruct Legal Counsel, Mr. Chris Guillet, to continue working with the City of Alexandria on the Intergovernmental Agreement in changing some of the verbage, striking out “Act of God”, keeping the four (4) year clawback in the agreement and also getting a clear understanding of the tax and whatever else Legal Counsel deems necessary to proceed so we can get a permit as soon as possible. On vote the motion carried. 8-1. Mr. Sean McGlothlin voted nay.
Discussion ensued.
Mr. Fountaine stated the motion had a few errors and needed to be cleaned up.
Mr. Richard Billings asked for the motion to be re-read.
Ms. Laurel Smith read the motion aloud.
On motion by Mr. Richard Billings, seconded by Mr. Sean McGlothlin, to table the previous motion. On vote the motion carried.
On motion by Mr. Richard Billings, seconded by Mr. Sean McGlothlin, to instruct Legal Counsel , for the Coliseum issue, Mr. Chris Guillet, to continue negotiations with the City of Alexandria and provide a counter proposal to the City in accordance with the discuss ion of the Rapides Parish Police Jury. On vote the motion carried.
On motion by Mr. Ollie Overton, seconded by Mr. Richard Billings, there being no further business, the meeting be adjourned at 10:26 a.m. On vote the motion carried.
