ORDINANCE NO. 17- 2023 AN ORDINANCE TO AMEND AND REENACT ALEXANDRIA CITY COUNCIL ORDINANCE NO. 286- 2003, § II.; AND, TO REPEAL ORDINANCE NO. 37-2013, RELATIVE TO APPOINTMENTS AND TERMS OF OFFICE FOR COMMISSIONE S OF THE GREATER ALEXANDRIA ECONOMIC DEVELOPMENT AUTHORITY GAEDA") DISTRICT COMMISSION; TO PROVIDE FOR APPOINTMENTS TO ND REMOVAL OR REPLACEMENT OF GAEDA DISTRICT COMMISSIONERS BY MEMBERS OF THE CITY COUNCIL; TO PROVIDE FOR OFFICERS FOR THE DISTRICT AND OTHERWISE TO PROVIDE FOR RELATED MATTERS. SECTION I: BE IT ORDAINED by the Council of the City of Alexandria, Louisiana, (" the Council") in legal session convened, the Council being of the opinion the appointed members of the Board of Commissioners of The Greater Alexandria Economic Development Authority, " GAEDA" district commission should be responsive to incumbent City Council persons who may nominate commissioners from time to ti e and that the City Council may replace commissioners. The City Council shall have the right to remove any GAEDA board commissioner with or without cause. City Coun it Ordinance No. 37- 2013 is hereby repealed. SECTION II: BE IT FURTHER ORDAINED by the Council that Ordinance No. 286 2003 § II. is amended and reenacted to read as follows: SECTION II.

• I. The Board of Commissioners of the GAEDA district commission shall be sev- n

7. persons, one commissioner appointed by each council person and approved by the City Council by resolution. Each commissioner may se e a four year term, subject to the right of the councilperson from the district o at large council person appointing or having the authority to appoint a commissioner, having the right and privilege to remove and replace an appointed commissioner and each council person having a right to appoi t, during the council persons term of office, a GAEDA commissioner of the council persons choice, subject to approval by the City Council by resolution. Any vacancy of a GAEDA commissioner by expiration of the commission: is term of office, death, resignation or removal shall likewise be filled by the ity Council on nomination by the appointing Council person and confirmation of the appointment by the City Council. II. The Board of Commissioners shall select annually one of its commissioners .: s chair and one commissioner as treasurer who shall be the chief financial officer. The Board shall meet at least semi- annually or at times designate • by the chair, provided any four commissioners may call a meeting of the boa d. No action of the district commission shall be valid or binding unless adopt d by the affirmative vote of a majority vote of the district commission' s boar membership and in accordance with the Open Meetings Law." SECTION III: BE IT FURTHER ORDAINED by the Council that if any provision or it- m of this Ordinance or the application thereof is determined to be invalid by a court of competent jurisdiction by a final and definitive judgment, such invalidity shall not affect any other provision, item or application of this Ordinance which shall be given effect - s if the invalid provision, item or application had not been included in this Ordinance a d to that end the provisions of this Ordinance declared to be severable.
