--MINUTES Page 1-- The England Economic and Industrial Development District met in Regular Session at the England Authority Board Room, 1611 Arnold Drive, England Industrial Airpark and Community Alexandria, Louisiana, on Thursday, May 24, 2012 at 5:06 p.m.

Antoon, Richard Bushnell, Dennis Frazier, Curman Gaines, Scott Linzay, Nancy Stich and Charlie Weems.

Also present were: Members of the England Authority staff and legal counsel.

Absent: Brady Baudin

Commissioner Bushnell gave the invocation and Commissioner Frazier led the Pledge of Allegiance.

England Economic and Industrial Development District was duly convened as the governing authority of said District by Mr. Barron, who then stated that the England Economic and Industrial Development District was ready for the transaction of business.

Chairman Barron asked for a motion to approve consent calendar for active items #1 through #12.

Motion by Mr. Linzay, second by Mr. Gaines, to approve consent calendar for active items #1 through #12. On vote, motion carried.

Consent Calendar MOTION TO APPROVE MINUTES OF APRIL 26, 2012, REGULAR BOARD MEETING. Motion by Mr. Linzay, second by Mr. Gaines, to approve minutes of April 26, 2012, regular board meeting. On vote, motion carried. 049-2012

MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE HEALTH INSURANCE POLICY WITH BLUE CROSS/BLUE SHIELD FOR YEAR 2012/2013 AS RECOMMENDED BY STAFF. Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to execute health insurance policy with Blue Cross/Blue Shield for year 2012/2013 as recommended by staff. On vote, motion carried. 050-2012

MOTION TO ADOPT A RESOLUTION GIVING PRELIMINARY APPROVAL TO THE ISSUANCE OF NOT TO EXCEED THREE MILLION THREE HUNDRED THOUSAND DOLLARS ($3,300,000) OF REVENUE REFUNDING BONDS, SERIES 2012A OF THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT; PROVIDING CERTAIN TERMS OF SAID BONDS, MAKING APPLICATION TO THE STATE BOND COMMISSI ON FOR THE APPROVAL OF SAID BONDS, AND PROVIDING FOR OTHER MATTERS IN CONNECTION. Motion by Mr. Linzay , second by Mr. Gaines, to adopt a resolution giving preliminary approval to the issuance of not to exceed Three Million Three Hundred Thousand Dollar s ($3,300,000) of Revenue Refunding bonds, Series 2012A of the England Economic and Industrial Development District; providing THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT BOARD OF COMMISSIONERS REGULAR SESSION MAY 24, 2012

MOTION TO ADOPT RESOLUTION GIVING PRELIMINARY APPROVAL TO THE ISSUANCE OF NOT TO EXCEED NINE HUNDRED TEN THOUSAND DOLLARS ($910,000) OF REVENUE REFUNDING BONDS, SERIES 2012 B, IN ONE OR MORE CLASSES, ON A TAXABLE OR TAX-EXEMPT BASIS, AND NOT EXCEEDING THREE MILLION SEVEN HUNDRED THOUSAND DOLLARS ($3,700,000) OF REVENUE BONDS, SERIES 2012C, OF THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT; PROVIDING CERTAIN TERMS OF SAID BONDS, MAKING APPLICATION TO THE STATE BOND COMMISSION FOR THE APPROVAL OF SAID BONDS, AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH. Motion by Mr. Linzay , second by Mr. Gaines, to adopt resolution giving preliminary approval to the issuance of not to exc eed Nine Hundred Ten Thousand Dollars ($910,000) of Revenue Refunding Bonds, Series 2012 B, in one or more classes, on a taxable or tax -exempt basis, and not exceeding Three Million Seven Hundred Thousand Dollars ($3,700,000) of Revenue Bonds, series 2012 C, of the England Economic and Industrial Development District; providing certain terms of said Bonds, making application to the State Bond Commission for the approval of said Bonds, and providing for other matters in connection therewith. MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE LEASE AGREEMENT BETWEEN EEIDD AND BISHOP CDC, L.L.C. D/B/A ENGLAND AIRPARK CHILD DEVELOPMENT CENTER FOR Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to execute lease agreement between EEIDD and Bishop CDC, L.L.C. d/b/a England Airpark Child Development Center for building

MOTION TO APPROVE PAYMENT OF ATTORNEY’S BILL TO PROVOSTY, SADLER, DELAUNAY, FIORENZA & SOBEL FOR THE MONTH OF APRIL, 2012. Motion by Mr. Linzay, second by Mr. Gaines, to approve payment of Attorney’s bill to Provosty, Sadler, DeLaunay, Fiorenza & Sobel for the month of April, 2012. On vote, motion carried. 054-2012

MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO RENEW CONTRACT WITH RAPIDES PARISH SHERIFF DEPARTMENT FOR SECURITY AT ENGLAND AIRPARK FROM JULY 1, 2012 TO JUNE 30, 2013. Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to renew contract with Rapides Parish Sheriff Department for security at England Airpark from July 1, 2012 to June 30, 2013. On vote, motion carried. 055-2012

MOTION TO DECLARE PROPERTY AS EXCESS, NOT NEEDED FOR PUBLIC PURPOSE AND AUTHORIZING THE SALE OF SAID SURPLUS. Motion by Mr. Linzay , second by Mr. Gaines, to declare property as excess, not needed for public purpose and authorizing the sale of said surplus. On vote, motion carried. 056-2012

MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE ACT OF CASH SALE TO PURCHASE 149.5 ACRES MORE OR LESS FROM THE STATE OF LOUISIANA IN THE AMOUNT OF 39,923.00. THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT BOARD OF COMMISSIONERS REGULAR SESSION MAY 24, 2012

--MINUTES Page 3-- Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to execute Act of Cash Sale to purchase 149.5 acres more or less from the State of Louisiana in the amount of $39,923.00. On vote, motion carried. 057-2012

MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE SUPPLEMENTAL AGREEMENT NO. 3 BETWEEN EEIDD AND THE UNITED STATES OF AMERICA FOR THE U.S. ARMY JOINT READINESS TRAINING CENTER INTERMEDIATE STAGING BASE (ISB). Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to execute Supplemental Agreement No. 3 between EEIDD and the United States of America for the U.S. Army Joint Readiness Training Center Intermediate Staging Base (ISB). On vote, motion carried. 058-2012

MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE AMENDMENT #1 TO THE STRUCTURAL/AIRCRAFT RESCUE AND FIREFIGHTING SERVICES CONTRACT. Motion by Mr. Linzay, second by Mr. Gaines, to authorize Executive Director to execute Amendment #1 to the Structural /Aircraft Rescue and Firefighting Services Contract. On vote, motion carried. 059-2012

MOTION TO ADD A RECONCILIATION PLAN CHANGE #1 FOR THE MILL AND OVERLAY A PORTION OF RUNWAY 18/36. Motion by Mr. Linzay , second by Mr. Gaines, to add a reconciliation plan change #1 for the mill and overlay a portion of Runway 18/36. On vote, motion carried. 060-2012

  • b. Financial Report : Collected 83% through our budget year and received 81.98% of our revenue and expended 73% of the budget.
