--MINUTES Page 1-- The England Economic and Industrial Development District met in Regular Session at the England Authority Board Room, 1611 Arnold Drive, England Industrial Airpark and Community Alexandria, Louisiana, on Thursday, November 18, 2010 at 5:06 p.m.

There were present: Charlie Weems, Chairman; Lance Harris, Vice- chairman; Richard Bushnell, Dennis Frazier, Curman Gaines, Bart Jones, Scott Linzay and Nancy Stich.

Absent: William Barron, Brady Baudin

Also present were: Members of the England Authority staff and legal counsel. Commissioner Bushnell gave the invocation and Commissioner Frazier led the Pledge of Allegiance. . England Economic and Industrial Development District was duly convened as the governing authority of said District by Mr. Weems, who then stated that the England Economic a nd Industrial Development District was ready for the transaction of business.

Chairman Weems asked for a motion to approve consent calendar for active items #1 through #7. Motion by M s. Stich, second by Mr. Linzay, to approve consent calendar for active items #1 through #7. On vote, motion carried.

Consent Calendar MOTION TO APPROVE MINUTES OF OCTOBER 28, 2010, REGULAR BOARD MEETING. Motion by M s. Stich, second by Mr. Linzay, to approve minutes of October 28, 2010 , regular board meeting. On vote, motion carried. 109-2010

MOTION TO APPROVE PAYMENT OF ATTORNEY’S BILL TO PROVOSTY, SADLER, DELAUNAY, FIORENZA & SOBEL FOR THE MONTH OF OCTOBER, 2010. Motion by Ms. Stich, second by Mr. Linzay, to approve payment of attorney ’s bill to Provosty, Sadler, deLaunay, Fiorenza & Sobel for the month of October, 2010. On vote, motion carried. 110-2010

MOTION TO A UTHORIZE EXECUTIVE DIRECTOR TO EXECUTE DEED FOR THE TRANSFER OF OWNERSHIP OF APPROXIMATELY EIGHT (8) ACRES FROM THE UNITED STATES OF AMERICA TO THE EEIDD. Motion by Ms. Stich, second by Mr. Linzay, to authorize Executive Director to execute deed for the transfer of ownership of approximately eight (8) acres from the United States of America to the EEIDD.

On vote, motion carried. 111-2010

MOTION TO A UTHORIZE EXECUTIVE DIRECTOR TO EXECUTE CONTRACT WITH PAT WILLIAMS CONSTRUCTION, INC., IN THE AMOUNT OF $1,006,938.47 FOR PACKAGE 2 ROUNDABOUT HARDSCAPE/LANDSCAPE AND AUTHORIZING EXECUTION OF DEDUCTIVE CHANGE ORDER #1 IN THE AMOUNT OF $231,939.47. Motion by Ms. Stich, second by Mr. Linzay, to authorize Executive Director to execute contract with Pat Williams Construction, Inc. , in the amount of $1,006,939.47 for Package 2 Roundabout Hardscape/Landscape and authorizing execut ion of deductive Change Order # 1 in the amount of $231,939.47. Motion by Ms. Stich , second by Mr. Linzay, to adopt resolution authorizing Executive Director to execute Sponsor/State Agreement #940-04-0044 between the Louisiana Department of Transportation and Development and the EEIDD for an ARFF Rapid Intervention Vehicle (RIV). On v ote, motion carried. 113-2010

MOTION TO ADOPT RESOLTUION AUTHORIZING EXECUTIVE DIRETOR TO EXECUTE SPONSOR/STATE AGREEMENT #940 -04-0039 BETWEEN THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT AND THE EEIDD TO RELOCATE FUEL FARM. Motion by Ms. Stich , second by Mr. Linzay, to adopt resolution authorizing Executive Director to execute Sponsor/State Agreement #940-04-0039 between the Louisiana Department of Transportation and Development and the EEIDD to relocate fuel farm. On vote, motion carried. 114-2010

MOTION TO ADOPT RESOLTUION AUTHORIZING EXECUTIVE DIRETOR TO EXECUTE SPONSOR/STATE AGREEMENT #940 -04-0039 BETWEEN THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPMENT AND THE EEIDD TO RELOCATE FUEL FARM. MOTION TO ADOPT RESOLTUION AUTHORIZING EXECUTIVE DIRETOR TO EXECUTE SPONSOR/STATE AGREEMENT #940 -04-0042 BETWEEN THE LOUISIANA DEPARTMENT OF TRANSPORTATION AND DEVELOPM ENT AND THE EEIDD TO REHABILITATE FBO APRON – PHASE 1 (DESIGN). Motion by Ms. Stich , second by Mr. Linzay, to adopt resolution authorizing Executive Director to execute Sponsor/State Agreement #940-04-0039 between the Louisiana Department of Transportation and Development and the EEIDD to rehabilitate FBO Apron – Phase I (Design). On v ote, motion carried. 116-2010

Staff Report – Executive Director – Air Traffic Report: Commercial air up 24% for month. Military Charter was up – enplaned 6400. A total of 20,874 people through the month of October. Fuel is up 37%. Financial Report : 33% through Fiscal Year, collected 33% of revenue and expended 31% of budget. Mr. Williams gave his monthly Economic Development report.
