THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT BOARD OF COMMISSIONERS REGULAR SESSION NOVEMBER 15, 2007 --MINUTES Page 1-- The England Economic and Industrial Development District met in Regular Session at the England Authority Board Room, 1611 Arnold Drive, England Industrial Airpark and Community, Alexandria, Louisiana, on Thursday, November 15, 2007. There were present: Mr. William Barron, Ch airman; Mr. Curman Gaines, Vice-Chairman; Mr. Richard Bushnell , Secretary/Treasurer; Ms. Bridgett Brown, Mr. Wayne Denley, Mr. Lance Harris, Mr. Martin Johnson, Mr. Willie Spears and Mr. Charles Waites. Absent: Also present were: Members of the England Authority staff, legal counsel, and members of the public, press and media. Commissioner Waites gave the invocation and Commissioner Gaines led the Pledge of Allegiance. England Economic and Industrial Development District was duly convened as the governing authority of said District by Mr. William Barron, Chairman, who then stated that the England Economic and Industrial Development District was ready for the transaction of business. Consent Calendar Chairman Barron asked for a motion to approve consent calendar for item #1, items #3 through #8, and to read item # 2 separately. Motion by Mr. Gaines, second by Mr. Bushnell to approve consent agenda item #1, items #3 through #8 and to read item #2 separately. On vote, motion carried. MOTION TO EXTEND CONTRACT FOR 60 DAYS BETWEEN EEIDD AND KAZETTE ENTERPRISES, INC., TO PERFORM DBE SERVICES FOR THE ENGLAND AUTHORITY AT CURRENT CONTRACT RATE AND DIRECT STAFF TO DEVELOP RFP FOR DBE SERVICES. Motion by Mr. Harris, second by Ms. Brown, to extend contract for 60 days between EEIDD and Kazette Enterprises, Inc., to perform DBE services for the England Authority at current contract rate and direct staff to develop RFP for DBE services. On vote, motion carried. 114-2007. MOTION TO APPROVE MINUTES FROM THE OCTOBER 25, 2007 REGULAR BOARD MEETING. Motion by Mr. Gaines, second by Mr. Bushnell, to approve Minutes from the October 25, 2007, regular Board Meeting. On vote, motion carried. 115-2007 MOTION TO APPROVE PAYMENT OF PROVOSTY BILL FOR THE MONTH OF OCTOBER, 2007. Motion by Mr. Gaines, second by Mr. Bushnell, to approve payment of Provosty bill for the month of October, 2007. Motion by Mr. Gaines, second by Mr. Bushnell, to approve payment of attorney’s bill to the Munsterman Law Firrm bill for the period from January 2007 through September 2007. On vote, motion carried. 117-2007 MOTION TO APPROVE PAYMENT OF ATTORNEY’S BILL TO THE JOHNSON & SIEBENEICHER LAW FIRM FOR THE PERIOD FROM AUGUST 2007 THROUGH OCTOBER 2007, REFERENCE CIVIL SUIT GRAY-WALK HOLDINGS, LLC VS EEIDD. Motion by Mr. Gaines, second by Mr. Bushnell, to approve payment of attorney’s bill to the Johnson & Siebeneicher Law Firm for the period from August 2007 through October 2007, reference civil suit GrayWalk Holdings, LLC vs EEIDD. On vote, motion carried. 118-2007 MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO SIGN KONE’ ELEVATOR/ESCALATOR MAINTENANCE AGREEMENT. Motion by Mr. Gaines, second by Mr. Bushnell, to authorize Executive Director to sign Kone’ elevator/escalator maintenance agreement. On vote, motion carried. 119-2007 MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO EXECUTE PART 150 NOISE COMPATIBILITY MITIGATION PROGRAM AGREEMENT WITH URS CORPORATION. Motion by Mr. Gaines, second by Mr. Bushnell, to authorize Executive Director to execute Part 150 Noise Compatibility Mitigation Program agreement with URS Corporation. On vote, motion carried. 120-2007 MOTION TO AUTHORIZE EXECUTIVE DIRECTOR TO ADVERTISE RFQ’S FORPROGRAM MANAGERS FOR THE NEIGHBORHOOD NOISE MITIGATION PROGRAM AND THE ACOUSTICAL TREATMENT OF INSTITUTIONAL AND COMMUNITY FACILITIES PROGRAM. Motion by Mr. Gaines, second by Mr. Bushnell, to authorize Executive Director to advertise RFQ’s for Program Managers for the Neighborhood Noise Mitigation Program and the Acoustical Treatment of Institutional and Community Facilities Program. On vote, motion carried. 121-2007 ADDITIONS TO AGENDA (2/3 VOTE REQURED) Comments by Legal Counsel –None Comments or Questions by Commissioners –None. Staff Report –

• a. Economic Development - Mr. Williams briefly stated the highlights of the Golf Scramble. Mr. Williams also stated that Secretary Olivier asked him to assemble information from E.A. partnership on available buildings and assets so at the airports so that he may translate into French for an Aviation Symposium that will be held in France in 2008. Film Activity: Briefed board regarding trip to Santa Monica, CA promoting Airpark services and facilities. Approximately 8,300 participated from over 70 countries.
• b. Executive Director –Finance Report: 33% through with the year and have collected 32% of budgeted revenue. Expended 28%. Airport Operations: Rental Cars –record month, collected $51,000. Aver age of 436 cars in the lot which set a record. More people are driving in from longer distances and staying.
