The England Economic and Industrial Development District Board of Commissioners Regular Session May 24, 2007

The England Economic and Industrial Development District met in Regular Session at the England Authority Board Room, 1611 Arnold Drive, England Industrial Airpark and Community, Alexandria, Louisiana, on Thursday, May 24, 2007. There were present: Mr. William Barron, Chairman; Mr. Curman Gaines, Vice-Chairman; Mr. Richard Bushnell, Ms. Bridgett Brown, Mr. Wayne Denley, Mr. Lance Harris, Mr. Kit Provine, Mr. Michael Tudor and Mr. Charles Waites. Absent: Mr. Martin Johnson Also present were: Members of the England Authority staff, legal counsel, and members of the public, press and media. Commissioner Waites gave the invocation and Commissioner Harris led the Pledge of Allegiance. England Economic and Industrial Development District was duly convened as the governing authority of said District by Mr. William Barron, Chairman, who then stated that the England Economic and Industrial Development District was ready for the transaction of business. Consent Calendar Chairman Barron stated that Item # 8 would be pulled from agenda and item #13 was properly added to agenda in committee meetings. Chairman Barron asked for a motion to approve consent calendar for items #1, #2, #4, #5 with three (3) items being added in Committee meetings. Agenda item # 3 was pulled for a roll call vote. The following items were added in Committee meetings: Item #6 - Motion authorizing Executive Director to execute Certificate of Substantial Completion for Rehabilitation of Taxiway A as recommended by Pan American Engineers. Item #7 - Motion authorizing Executive Director to execute Certificate of Substantial Completion for Construction of Taxiway B as recommended by Pan American Engineers. Item #8 - Motion authorizing the England Authority to co-sponsor with GAEDA and City of Alexandria, the Legislative Black Caucus Banquet by issuing a check in the amount of $2,500.00 to be held in Baton Rouge. A roll call vote was called for item #3 as follows: Motion to provide for the incurring of debt and issuance of One Million Two Hundred Thousand Dollars ($1,200,000) of Taxable and Tax-Exempt Certificates of Indebtedness of the England Economic and Industrial Development District; prescribing the form, terms and conditions of such Certificates to the purchaser thereof; and providing for other matters in connection therewith. Motion by Ms. Brown, second by Mr. Harris to approve consent agenda items #1 through #8. On vote, motion carried. MOTION TO APPROVE MINUTES FROM THE APRIL 26, 2007 REGULAR BOARD MEETING. Motion by Ms. Brown, second by Mr. Harris, to approve Minutes from the April 26, 2007, regular Board Meeting. On vote, motion carried. 051-2007 MOTION TO APPROVE PAYMENT OF PROVOSTY BILL FOR THE MONTH OF APRIL, 2007. Motion by Mr. Johnson, second by Mr. Gaines, to approve payment of Provosty bill for the month of April, 2007. On vote, motion carried. 052-2007 MOTION TO PROVIDE FOR THE INCURRING OF DEBT AND ISSUANCE OF ONE MILLION TWO HUNDRED THOUSAND DOLLARS ($1,200,000) OF TAXABLE AND TAX-EXEMPT CERTIFICATES OF INDEBTEDNESS OF THE ENGLAND ECONOMIC AND INDUSTRIAL DEVELOPMENT DISTRICT; PRESCRIBING THE FORM, TERMS AND CONDITIONS OF SUCH CERTIFICATES TO THE PURCHASER THEREOF; AND PROVIDING FOR OTHER MATTERS IN CONNECTION THEREWITH. Motion by Mr. Johnson, second by Mr. Gaines, to provide for the incurring of debt and issuance of One Million Two Hundred Thousand Dollars ($1,200,000) of Taxable and Tax-Exempt Certificates of Indebtedness of the England Economic and Industrial Development District; prescribing the form, terms and conditions of such Certificates to the purchaser thereof; and providing for other matters in connection therewith. On vote, motion carried. 053-2007 MOTION AUTHORIZING ADVERTISEMENT FOR BIDS FOR RENTAL CAR PARKING SPACE CONSTRUCTION AT TERMINAL. Motion by Mr. Johnson, second by Mr. Gaines, authorizing advertisement for bids for rental car parking space construction at terminal. On vote, motion carried. 054-2007 MOTION AUTHORIZING EXECUTIVE DIRECTOR TO EXECUTE CONTRACT WITH PAT WILLIAMS CONSTRUCTION COMPANY, INC., IN THE AMOUNT OF $525,000.00 FOR RENOVATION TO THE LEARNING CENTER AND AUTHORIZING CHANGE ORDER NO. 1 REDUCING TOTAL CONTRACT TO $474,535.00, SUBJECT TO FINAL SIGNING BY THE STATE OF LOUISIANA TO THE PREVIOUSLY AUTHORIZED LEASE AMENDMENT. Motion by Mr. Johnson, second by Mr. Gaines, authorizing Executive Director to execute contract with Pat Williams Construction Company, Inc., in the amount of $525,000.00 for renovation to The Learning Center and authorizing Change Order No.1 reducing total contract to $474,535.00, subject to final signing by the State of Louisiana to the previously authorized lease amendment. On vote, motion carried. 055-2007 MOTION AUTHORIZING EXECUTIVE DIRECTOR TO EXECUTE CERTIFICATE OF SUBSTANTIAL COMPLETION FOR REHABILITATION OF TAXIWAY A AS RECOMMENDED BY PAN AMERCIAN ENGINEERS. Motion by Mr. Johnson, second by Mr. Gaines, authorizing Executive Director to execute Certificate of Substantial Completion for Rehabilitation of Taxiway A as recommended by Pan American Engineers. On vote, motion carried. 056-2007 MOTION AUTHORIZING EXECUTIVE DIRECTOR TO EXECUTE CERTIFICATE OF SUBSTANTIAL COMPLETION FOR CONSTRUCTION OF TAXIWAY B AS RECOMMENDED BY PAN AMERICAN ENGINEERS. Motion by Mr. Johnson, second by Mr. Gaines, authorizing Executive Director to execute Certificate of Substantial Completion for Construction of Taxiway B as recommended by Pan American Engineers. On vote, motion carried. 057-2007 MOTION AUTHORIZING THE ENGLAND AUTHORITY TO CO-SPONSOR WITH GAEDA AND CITY OF ALEXANDRIA, THE LEGISLATIVE BLACK CAUCUS BANQUET BY ISSUING A CHECK IN THE AMOUNT OF $2,500.00 TO BE HELD IN BATON ROUGE. Motion by Mr. Johnson, second by Mr. Gaines, authorizing the England Authority to co-sponsor with GAEDA and City of Alexandria, the Legislative Black Caucus Banquet by issuing a check in the amount of $2,500.00 to be held in Baton Rouge. On vote, motion carried. 058-2007 ADDITIONS TO AGENDA (2/3 VOTE REQUIRED) Comments by Legal Counsel – None Comments or Questions by Commissioners – None. Staff Report – a. Executive Director – Economic Development: Mr. Tudor, Jimmy Williams, along with Chief Barbry and Jeff Favre and a delegation from LA. College were in Monterrey, and had a very successful trip. Finance Report: Finished with 83% of the year. Collected 82% of the revenue as projected in the budget and expended 78% of the funds budgeted. Comparative Air Report: Up overall on the airport by 14%. Commercial air up15%. For the year, up commercially 5%, which means new people are being drawn to the airport. Up 5% for airport operations on commercial cargo. Over 6.5 million pounds of commercial cargo and fuel sales are up for the year. Public Comments or Questions - None There being no further business to come before the Board, meeting was adjourned.
