The England Economic and Industrial Development District Board of Commissioners Special Session December 10, 2004

The England Economic and Industrial Development District met in Special Session at the England Authority Board Room, 1611 Arnold Drive, England Industrial Airpark and Community, Alexandria, Louisiana, on Friday, December 10, 2004. There were present: Mr. Wayne Miller, Chairman; Mr. William Barron, Ms. Bridgett Brown, Mr. Curman Gaines, Mr. Mike Tudor, Mr. Martin Johnson, Mr. Charles Waites, and Mr. Wayne Denley. Absent: Mr. Kit Provine, Mr. Richard Bushnell Also present were: Members of the England Authority staff, legal counsel, and members of the public, press and media. Commissioner Waites offered the invocation and Commissioner Barron led the Pledge of Allegiance. The England Economic and Industrial Development District was duly convened as the governing authority of said District by Mr. Wayne Miller, Chairman, who then stated that the England Economic and Industrial Development District was ready for the transaction of business. (Mr. Bushnell arrived at meeting in progress) Motion by Ms. Brown, second by Mr. Bushnell to adopt the motion: MOTION TO AUTHORIZE THE EXECUTIVE DIRECTOR TO ENTER INTO A DEVELOPMENT AGREEMENT WITH UTLX MANUFACTURING, INC., FOR THE PURPOSE OF ASSISTING AND FACILITATING THE CONSTRUCTION AND OPERATION OF A RAIL TANK CAR MANUFACTURING FACILITY IN SECTIONS 31, 32 & 34, TOWNSHIP 4 NORTH, RANGE 2 WEST, SOUTHWESTERN DISTRICT, NEAR THE CITY OF ALEXANDRIA, RAPIDES PARISH, LOUISIANA. Motion by Ms. Brown, second by Mr. Bushnell to table the motion. By unanimous vote, the motion was tabled. ADDITIONS TO AGENDA (2/3 VOTE REQUIRED) Motion by Ms. Brown, second by Mr. Barron to add following item to agenda: Motion to authorize the Executive Director to execute Amendment No.1 to Right of Use Agreement, dated September 21, 2004 to provide to Union Tank Car Company the right to perform certain construction work, as that term is defined in the Amendment, on the proposed Rail Tank Car Manufacturing Facility construction site. By unanimous vote, motion was added to agenda. MOTION TO AUTHORIZE THE EXECUTIVE DIRECTOR TO EXECUTE AMENDMENT NO. 1 TO RIGHT OF USE AGREEMENT, DATED SEPTEMBER 21, 2004 TO PROVIDE TO UNION TANK CAR COMPANY THE RIGHT TO PERFORM CERTAIN CONSTRUCTION WORK, AS THAT TERM IS DEFINED IN THE AMENDMENT, ON THE PROPOSED RAIL TANK CAR MANUFACTURING FACILITY CONSTRUCTION SITE. Motion by Ms. Brown, second by Mr. Johnson, to authorize the Executive Director to execute Amendment No. 1 to Right of Use Agreement, dated September 21, 2004 to provide to Union Tank Car Company the right to perform certain construction work, as that term is defined in the Amendment, on the proposed Rail Tank Car Manufacturing Facility Construction site. On vote, motion carried. 168-2004 Motion by Mr. Tudor, second by Mr. Johnson to add following item to agenda: MOTION TO INSTRUCT THE STAFF TO PREPARE APPROPRIATE RESOLUTION THANKING SAMMY BONNETTE AS ECONOMIC DEVELOPMENT DIRECTOR. By unanimous vote, motion was added to agenda. MOTION TO INSTRUCT THE STAFF TO PREPARE APPROPRIATE RESOLUTION THANKING SAMMY BONNETTE AS ECONOMIC DEVELOPMENT DIRECTOR. Motion by Mr. Tudor, second by Mr. Johnson to instruct the staff to prepare appropriate resolution thanking Sammy Bonnette as Economic Development Director. On vote, motion carried. 169-2004 Comments by Legal Counsel – None Comments or Questions by Commissioners – Mr. Tudor stated that he would like to have a news release in regards to the DBE receiving the 2004 Secretary’s Minority Business Award. He also requested staff to look into the whereabouts of the Menorah decoration. Public Comments or Questions – None There being no further business to come before the Board, the meeting was adjourned.
