Alexandria City Council

PROCEEDINGS OF THE COUNCIL OF THE CITY OF ALEXANDRIA, STATE OF LOUISIANA, TAKEN AT A REGULAR MEETING HELD ON NOVEMBER 26, 2024. The Council of the City of Alexandria, Louisiana, met in a regularly scheduled meeting session in the City Council Chambers, on Tuesday, November 26, 2024 at 5:00 P.M. Those present were the Honorable Jim Villard, Lizzie Felter, Cynthia Perry, Gary Johnson, Chuck Fowler, REDDEX Washington and Lee Rubin. Also present were Mayor Roy, Assistant City Attorney Daniel Smith, Michael Caffery and Council Staff. The Council of the City of Alexandria, State of Louisiana was duly convened as the governing authority of said City by the Honorable Jim Villard, who stated that the Council was ready for the transaction of business. The invocation was pronounced by Mr. Washington and the Pledge of Allegiance was led by Mr. Rubin.

APPROVAL OF MINUTES

On a motion of Mr. Fowler and seconded by Mr. Johnson the minutes taken from a regular Council Meeting held on November 12, 2024 were unanimously approved by the Council.

CONSENT CALENDAR

The Council next read all items found under the heading Consent Calendar and assigned them to committees.

Mr. Fowler moved for the introduction of all items appearing under the heading Consent Calendar. Mr. Washington seconded the motion. It was unanimously carried by the Council. Bids were received for Electric Utility Right-of Way Emergency Services.

The above bid was referred to the Mayor and appropriate committee for tabulation and recommendation. The following ordinance was introduced by Mr. Fowler and seconded by Mr. Washington to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ACCEPT THE LOW BID SUBMITTED FOR ELECTRIC UTILITY RIGHT-OF-WAY EMERGENCY SERVICES AND OTHER MATTERS WITH RESPECT THERETO.

Bids were received for Petroleum Products. Name of Bidders Lott Oil Company McCartney Oil Company Petro Pangea Inc.

The above bid was referred to the Mayor and appropriate committee for tabulation and recommendation. On a motion of Mr. Fowler and seconded by Mr. Washington the following ordinance was introduced to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT WITH BLACKOUT POWER, LLC FOR QUALIFIED ELECTRIC LINE WORKER SERVICES AND OTHER MATTERS WITH RESPECT THERETO.

On a motion of Mr. Fowler and seconded by Mr. Washington the following ordinance was introduced to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ACCEPT THE LOWEST PROPOSALS RECEIVED FROM DEBRIS TECH AND TETRA-TECH FOR EMERGENCY DEBRIS REMOVAL MONITORING SERVICES AND OTHER MATTERS WITH RESPECT THERETO.

On a motion of Mr. Fowler and seconded by Mr. Washington the following ordinance was introduced to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ACCEPT THE LOWEST PROPOSALS RECEIVED FROM CROWDER GULF AND CERES FOR DISASTER DEBRIS REMOVAL, REDUCTION AND DISPOSAL SERVICES AND OTHER MATTERS WITH RESPECT THERETO.

On a motion of Mr. Fowler and seconded by Mr. Washington the following ordinance was introduced to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ENTER INTO A CONTRACT TO PURCHASE A 106.66 X 106.66 SITE, TRACT OR PARCEL OF GROUND LOCATED AT SIXTH STREET AND DESOTO STREET FROM STETH, LLC AND OTHERWISE PROVIDING WITH RESPECT THERETO.

On a motion of Mr. Fowler and seconded by Mr. Washington the following ordinance was introduced to wit: AN ORDINANCE AUTHORIZING THE MAYOR TO ENTER INTO A PROFESSIONAL SERVICE AGREEMENT FOR GENERAL UTILITY REGULATORY COMPLIANCE, SYSTEM ANALYSIS AND DESIGN PROFESSIONAL SERVICES AND OTHER MATTERS WITH RESPECT THERETO.

The Council of the City of Alexandria, Louisiana, met in a regularly scheduled meeting session in the City Council Chambers, on Tuesday, November 12, 2024 at 5: 00 P. M. Those present were the Honorable Jim Villard, Lizzie Fetter, Cynthia Perry, Gary Johnson, Chuck Fowler and Lee Rubin. Absent REDDEX Washington. Also present were Mayor Roy, City Attorney Jonathan Goins, Michael Caffery and Council Staff. The Council of the City of Alexandria, State of Louisiana was duly convened as the governing authority of said City by the Honorable Jim Villard, who stated that the Council was ready for the transaction of business. The invocation was pronounced by Ms. Felter and the Pledge of Allegiance was led by Mr. Johnson. APPROVAL OF MINUTES On a motion of Mr. Rubin and seconded by Mr. Fowler the minutes taken from a regular Council Meeting held on October 29, 2024 were unanimously approved by the Council. CONSENT CALENDAR The Council next read all items found under the heading Consent Calendar and assigned them to committees. Mr. Rubin moved for the introduction of all items appearing under the heading Consent Calendar. Mr. Fowler seconded the motion. It was unanimously carried by the Council. Bids were received for underground Electric Construction Unit and hourly pricing for the Electric Distribution Department. The Ambulance Advisory Committee after careful consideration and input from citizens, healthcare officials, and the ambulance providers attending the committee meetings, has voted unanimously to recommend continuing with a sole provider for emergency and non- emergency ambulance transport in Rapides Parish. Upon the recommendation of the Ambulance Advisory Committee, the Rapides Parish Police Jury is considering adoption of a new set of parish ordinances providing for a sole provider for emergency and non- emergency ambulance transport within the Parish of Rapides, as well as a zone map for response times within the parish and penalty and contract termination provisions. Under the City's AFEAT (Alexandria Fairness, Equality, Accessibility, and Teamwork Program), participation by minority and/ or disadvantaged business enterprise firms is encouraged. The AFEAT Program should be inquired about through the Division of Finance. The goals for qualifying disadvantaged, minority and female owned business in the use of professional service agreements with prime contractors will help effectuate the goals of increasing: the competitive viability of small business, minority, and women business enterprise by providing contract, technical, educational, and management assistance; business ownership by small business persons, minority persons, and women ( including professional service opportunities); and the procurement by the City of professional services, articles, equipment, supplies, and materials from business concerns owned by small business concerns, minority persons, and women. Prime contractors offering subcontracting should take specific action to ensure that a bona fide effort is made to achieve maximum results towards meeting the established goals. The City Agrees to:
• A. Compensation:

1. This Agreement covers professional services for GDS Associates, Inc. for which compensation will be at the rates on the GDS Associates, Inc. Fee Schedule as described in Attachment " A" attached hereto and which is incorporated herein and made a part hereof.
2. GDS Associates, Inc. shall submit itemized invoices for services rendered on or before the 5th day of each month. Payment by the City of Alexandria shall be made in accordance with policies of the City of Alexandria Itemized invoices shall include detailed description of work performed by professional( s) at rate provided for in Attachment " A." Any ambiguity as to work performed that has not been authorized by the City shall not be compensated. B. Reimburse all reasonable out ofpocket expenses, including costs of photography, travel, printing, and video production, but not including gasoline or vehicle expenses which are included in the hourly rate on local travel. Out of town travel, if authorized by the mayor' s office, shall be compensated at the standard government rate or the standard rates established by the City of Alexandria.

• C. Provide administrative contact persons as liaison between the City and GDS Associates, Inc., who may include the Chief of Operations, Director of Utilities and members of the Legal Division. D. Provide GDS Associates, Inc. with all criteria and necessary information for completion of projects, including furnishing GDS Associates, Inc. with all existing studies, reports, and other data available to City pertinent to each project. E. Review and examine all Services provided by GDS Associates, Inc. to City and, when necessary, obtain counsel, whether legal or otherwise, in connection with decisions made pursuant to or collateral to such Services. IV. Assignability: GDS Associates, Inc. shall not assign any interest in this contract, and shall not transfer any interest without prior written consent of the City of Alexandria.
• V. Acknowledgement of Exclusion of Workman' s Compensation Coverage: GDS Associates, Inc. herein expressly agrees and acknowledges that its company and its employees are Independent Contractors as defined in R. S. 23: 1020( 5) and, as such, it is expressly agreed and understood between the parties that the City of Alexandria shall not be liable to the Professional for any benefits or coverages provided by the Workman's Compensation Laws ofthe State of Louisiana. VI. Waiver of Sick and Annual Benefits It is expressly agreed and understood between the parties entering into this professional services contract, that GDS Associates, Inc., acting as an independent contractor and its employees, shall not receive sick and annual benefits from the City of Alexandria. VII. Duration of this Agreement: A. This Agreement shall be valid beginning January 1, 2025, and ending December 31, 2027, unless terminated earlier by either party in accordance with this contract. B. Either party to this Contract may terminate the Contract by giving the other party written notice of said intention to terminate at least ten( 10) days before the date of termination or termination sought ifbefore the term expires. Upon receipt of such notice, all actions on behalf ofthe City shall cease and a proper accounting for time, activity, and status of items shall be rendered forthwith to ensure no detriment to the City occurs. This Agreement is therefore terminable at the will of either party, without the need for cause.
• C. For purposes of this section, the Mayor of the City of Alexandria is authorized to terminate this contract without further Council approval. VIII. Amendment of Agreement: This Agreement may be amended by written mutual consent of the respective parties, without further council approval unless it be to modify the object ofthe agreement or modify the rate of compensation; additions to scope shall be permitted by amendment, including extensions set forth by Section VII. For the consideration and under the conditions set forth above, GDS Associates, Inc. has agreed to perform the specified services for the City of Alexandria. IX. Indemnification GDS Associates, Inc. may be asked to maintain sufficient professional and general liability insurance and provide continuing proof ofsame to the City. Ifrequested by the City, the Professional must do so within ten ( 10) days as a continued condition to this Agreement at the S Professional' s expense. At all times hereunder, the Professional further agrees to defend, indemnify, and hold harmless the City ofAlexandria, its officers, agents, employees, and assigns from and against any and all claims, actions or causes of action, damages and labilities arising out of Professional' s negligent acts, errors, or omissions in performing the contract services.
• X. Entire Agreement This Agreement constitutes the entire Agreement between the parties with respect to the transactions contemplated by this Agreement, and it supersedes all prior oral or written agreements, commitments, or understandings with respect to the matters provided for in this Agreement. XI. Governing Law This Agreement, the rights and obligations of the parties and any claims or disputes relating thereto shall be governed by and construed in accordance with the laws ofthe State ofLouisiana. The parties agree that the venue of any lawsuit brought pursuant to this contract shall be in the 9`h Judicial District, Rapides Parish, Louisiana. XII. Severability The invalidity, illegality or unenforceability of any portion of any provision of this Agreement or the occurrence of any event rendering any portion or provision of this Agreement void shall in no way affect the validity or enforceability of any other portion or provision of this Agreement. Any void provision shall be deemed severed from this Agreement, and the balance of this Agreement shall be construed and enforced as ifthis Agreement did not contain the particular portion or provision held to be void. XIII. Non-Appropriation The City shall not be in default of this Agreement in the event the City Council fails to appropriate the necessary funds for the payments. (" Non- Appropriation Event"). The continuation of this Agreement is contingent upon the appropriation of funds by the City Council to fulfill the terms/ requirements of the Agreement. The City Council shall make an annual good faith effort to appropriate all funds sufficient to pay all amounts due pursuant to the Agreement. Ifthe City Council, after a good faith effort, fails to appropriate sufficient monies to provide for the continuation ofthe Agreement, or if such appropriation is reduced by the veto of the Mayor or by any other lawful means, and the effect of such reduction is to provide insufficient monies for the continuation ofthe Agreement, the contract shall terminate on the date of the beginning ofthe first fiscal year for which funds are not appropriated. XIV. 6. 1. 2 Collaborate with the City to market the Keep Louisiana Beautiful Alexandria Affiliate.
7. 1. 3 Provide funding for programming as outlined in Article I that is not specifically listed in Article II.
8. 2 CHAMBER shall maintain day-to-day oversight of the Keep Louisiana Beautiful Alexandria Affiliate and provide direct supervision of Keep Louisiana Beautiful Alexandria Affiliate for the purposes described in the Agreement. CHAMBER shall maintain management responsibility; provided, however, the City Contract Monitor is 1111 informed of and has access to programming and the administration of funds and with respect to programming.
9. 3 Deliverables of Foundation. Foundation shall make diligent and appropriate performance efforts, to achieve the outcomes as agreed to between Foundation and the Office of the Mayor, CHAMBER and/ or the Contract Monitor. Foundation agrees to perform the services as provided and shall use its best efforts to render the services and provide the deliverables throughout the term of this Agreement. The Project Scope of Services to be performed under this Agreement is outlined in Section 4.6 and Attachment A, which is incorporated into this Agreement.
10. 4 Deliverables of the City. The City shall provide the following deliverables:
11. 4. 1 Provide $ 30, 000 ( Thirty Thousand and NO/ dollars) in a 12 ( twelve months) increment, unless this Agreement is terminated pursuant to Article 5. The payments are to be divided into equal monthly payments.
12. 4. 1. 1 Provide payment to Chamber in consideration of services provided in Attachment A for a period of 12 ( twelve months).
13. 4. 1. 2 Reimburse all reasonable out of pocket expenses if authorized by the mayor' s office, compensated at the standard government rate or the standard rates established by the city of Alexandria. 1111 2. 4. 2 Provide funding for additional programs as outlined in Article I that is not specifically listed in Article II.
14. 4. 3 Provide use of city-owned facilities, property and services in furtherance of the Keep Louisiana Beautiful Alexandria Affiliate upon reasonable notice to the City for request of said facilities, property and services. Determination will be made by Contract Monitor and/ or representative of the Division of Public Works as to availability of facilities, property and services.
15. 4.4 The City shall provide for maintenance costs associated with said facilities, except as otherwise agreed between the parties.
16. 4. 5 Collaborate with the CHAMBER to market the Keep Louisiana Beautiful Alexandria Affiliate. ARTICLE 2A GENERAL SCOPE& DELIVERABLES 2A. 1 The City may provide from time to time to CHAMBERand/or Foundation the use of certain property and improvements as may be beneficial to CHAMBER and/ or Foundation to carry out Article I intended programs. 2A. 2 The City, when requested ; by CHAMBER and/ or Foundation, may agree to provide certain funding a in amounts as the City may choose to deliver for the cost and administration of programs, events and opportunities to enhance public use for economic development, tourism, civic, recreation and other joint purposes and may provide such other services as may be required for improved access, safety, public enjoyment and provide for public accommodation. The City is permitted, but not required, to provide necessary services for health and safety, construct such improvements, as in the opinion of the City may be from time to time required for improved safety and enjoyment of the public. CHAMBER and/ or, through its duly authorized representative, and the Mayor may also apportion cost of programs to each other if deemed necessary, or the city may, at its option, contribute the cost of programs to be administered and monitored by CHAMBER and/ or. 2A.3 CHAMBER and/ or Foundation, when requested by the City, may agree to provide certain funding in amounts as the CHAMBER and/ or Foundation may chose to deliver for the cost and administration of programs, events and opportunities to enhance public use for economic development, tourism, civic, recreation and other joint purposes and may provide such other services as may be required for improved access, safety, public enjoyment and provide for public accommodation. CHAMBER and/ or Foundation is not required to fund programs when the City chooses to provide funding but may offer such administrative support for the implementation of programs jointly agreed to between the parties with CHAMBER and/ or Foundation administering funds advanced from time to time by the City subject to such terms and conditions as the City in its sole discretion directs. 2A. 4 All endeavors undertaken from time to time shall be approved jointly by the Mayor of the City and the Executive Director of CHAMBER and/or Foundation in writing and such approval document shall form a part of this agreement from time to time provided. The Endeavor Document shall specify the respective dollar contribution of the parties and outline the proportionate obligations and deliverables related to the endeavor. 2A. 5 The City may, as set out herein, from time to time request CHAMBER and/ or Foundation to fund and administer programs, facilities or matters the parties jointly and in concert deem appropriate for economic development, tourism, civic, recreation and other joint purposes, for public purposes at such times, dates and hours as provided herein. Availability of a particular facility may be confirmed with the Mayor' s representative if a City facility is necessary. The City and Chamber and/ or Foundation may agree on proportionate funding from either or both entities as the respective parties may from time to time agree to in writing. Written agreements, executed by the Mayor and Executive Director(s) respectively of the participating bodies may from time to time be annexed to this agreement for specific programs, funding and associated responsibilities for programs related hereto. ARTICLE 3 CONTRACT MONITOR
17. 1 The Contract Monitor for this contract is the Community Services Director for the City of Alexandria, or their designee.
18. 2. 1 Monitoring Plan: During the term of this Agreement, Contracting Party shall discuss with City' s Contract Monitor the progress and results of the project, ongoing plans for the continuation of the project, any deficiencies noted, and other matters relating to the project. Contract Monitor shall review and analyze Contracting Party' s Plan to ensure Contracting Party' s compliance with contract requirements.
19. 2.2 The Contract Monitor shall also review and analyze the Contracting Party' s written Progress Reports and any work product for compliance with the Scope of Services; and shall:
20. Compare the Reports to Goals/ Results and Performance Measures outlined in this contract to determine the progress made;
21. Contact Contracting Party to secure any missing deliverables;
22. Maintain telephone and/ or e- mail contact with Contracting Party on contact activity and, if necessary, make visits to the Contracting Party' s site in order to review the progress and completion of the Contracting Party' s services, to assure that performance goals are being achieved, and to verify information when needed.
23. 3 Between required performance reporting dates, Contracting Party shall inform Contract Monitor of any problems, delays or adverse conditions that will materially affect the ability to attain program objectives, prevent the meeting of time schedules and goals, or preclude the attainment of project results by established time schedules and goals. Contracting Party' s disclosure shall be accompanied by a statement describing the action taken or contemplated by the Contracting Party, and any assistance that may be needed to resolve the situation. ARTICLE 4 ADDITIONAL TERMS
24. 1 Limited City Services. The City is providing only certain services/ assets to the CHAMBER and Foundation. This Agreement in no way creates a joint venture between the City, CHAMBER and Foundation.
25. 2 Independent Contractor and Liability. It is agreed that City is interested only in the results obtained and that CHAMBER and Foundation shall perform the duties pursuant to this Agreement as Independent Contractors. CHAMBER and Foundation are, for all purposes arising out of this Agreement, an independent contractor, and shall not be deemed employees of the City. It is expressly understood and agreed that CHAMBER and Foundation shall in no°event be entitled to any benefits to which City's employees are entitled, including, but not limited to, overtime, any retirement benefits, workers' compensation benefits, and injury leave or other leave benefits. Foundation further acknowledges that it is solely responsible for maintenance and payment of any and all taxes and insurance and the like that may be required by federal, state or local law with respect to any sums paid hereunder.
26. 3 Indemnification and Hold Harmless. CHAMBER and Foundation agree to indemnify, save, and hold-harmless the City, its officers, agents, contractors and employees, from any and all claims, costs, liabilities, causes of action, rights of action, including attorney' s fees and court costs, that can be asserted by CHAMBER and Foundation or any third person and Professional( s) or party( ies) participating with or associated in any way with CHAMBER and Foundation arising out of or in any way connected with or related to the performance, malperformance, and/ or the nonperformance of CHAMBER and Foundation and any third party connected therewith and whether related to or arising out of the use of the City owned property or CHAMBER and Foundation services provided under this Agreement. 4.3. 1 CHAMBER and Foundation shall exonerate, indemnify, and hold harmless the City from and against, and shall assume full responsibility for, payment of all federal, state, and local taxes or contributions imposed or required under unemployment insurance, Social Security, and income tax laws, with respect to any CHAMBER and/ or Foundation employee or any such employees of CHAMBER and Foundation as may be engaged in the performance of this Agreement. The City and its agents and employees shall not be, nor be held liable for any liabilities, penalties, or forfeitures or for IPany damages to goods, properties, or effects of employee( s) of CHAMBER and Foundation, or of any other persons whatsoever, nor for any personal injury caused by or resulting from any negligent act or omission of employee( s) of CHAMBER and Foundation. Employee( s) of CHAMBER and Foundation further agree to indemnify and hold harmless the City and the City's agents and employees against and from any and all of the foregoing liabilities, and any and all costs or expenses incurred by either City on account of any claim therefor.
27. 4 City' s Trademark Property. The City of Alexandria names, logos and seals are trademarked property of the City, and may not be used in any film, video, photograph or other product created under this Agreement without the express prior written permission of the City' s Public Information Officer or authorized designee. The Public Information Officer' s office is at City Hall, 915 Third Street, 2nd`Floor, Alexandria, Louisiana 71301. Contractor agrees to comply with this restriction,
28. 5 Credit Required By City Ordinance. Chamber and Foundation shall insure recognition of the role of the City of Alexandria in providing services through this Agreement. All activities, facilities, and items used pursuant to this Agreement shall be prominently labeled as to funding source. In addition, Chamber and Foundation will include a reference to the support provided herein`all publications made possible with funds made available under this Agreement. Chamber and Foundation agree that the City or authorized designee shall determine whether the Ordinance applies after reviewing their proposed use of the property, any requests made by Chamber and/ or Foundation to waive City fee( s), and any other factors as required by the Ordinance. Chamber and/ or Foundation agree to abide by the determination of the City or authorized designee.
29. 6 It is expressly understood that CHAMBER and Foundation may utilize a third party toperform services related to but beyond the Scope of Services enumerated in Attachment

• A. Specifically, CHAMBER and Foundation will work to create and market a Keep Louisiana Beautiful Alexandria Affiliate. It is the intention of CHAMBER, Foundation and the City that the Keep Louisiana Beautiful Alexandria Affiliate will serve as a model that may be implemented throughout Central Louisiana. ARTICLE 5 TERMINATION

5. 1 For Cause. The City may terminate this Agreement for cause based upon the failure of CHAMBER and Foundation to comply with the terms and/ or conditions of the Agreement, provided that the City shall give CHAMBER and Foundation written notice specifying CHAMBER and Professional' s failure to comply with the terms and/ or conditions of this Agreement. If within thirty ( 30) days after receipt of such notice, CHAMBER and Foundation shall not have either corrected such failure or, ifit cannot be corrected within thirty ( 30) days, begun in good faith to correct said failure and thereafter proceeded diligently to complete such correction, then the City may, at its sole option, place CHAMBER and Foundation in default of this Agreement this Agreement shall terminate on the date specified in such notice. CHAMBER and Foundation may exercise any rights available to it under Louisiana law to terminate for cause upon the failure of the City to comply with the terms and conditions of this Agreement, provided that CHAMBER and Foundation shall give the City written notice specifying the City' s failure and a reasonable opportunity for the City to cure such defect( s).
6. 2 For Convenience. The City of the CHAMBER and Foundation may terminate this Agreement at any time by giving thirty ( 30) days written notice to the respective party. Upon receipt of notice to terminate, CHAMBER and Foundation shall, unless the notice directs otherwise, immediately discontinue the work and events at least to the extent there is any expectation of participation by the City under the terms and conditions of this Agreement. ARTICLE 6 OWNERSHIP
7. 1 All records, documents and/ or other materials delivered or transmitted to CHAMBER and Foundation by the City shall remain the property ofthe City, and shall be returned by CHAMBER and Foundation to the City, at CHAMBER and Professional' s expense, at termination or expiration of this Agreement. All records, reports, documents, or other material related to this Agreement and/ or obtained or prepared by CHAMBER and Foundation in connection with the performance of the services contracted herein may become the property of the City, and may, upon request, be returned by CHAMBER and Foundation to the City at CHAMBER and Professional' s expense at the termination or expiration of this Agreement. ARTICLE 7 ASSIGNABILITY
8. 1 CHAMBER and Foundation shall not assign any interest in this Agreement and shall not transfer any interest in same( whether by assignment or novation) to any other person and Professional/ party without prior written consent of the City. ARTICLE 8 FINANCIAL DISCLOSURE AND AUDIT
9. 1 CHAMBER and Foundation in consideration of the receipt of public funds or services from the City, which receipt is hereby acknowledge, shall be subject to any audit in accordance with applicable Louisiana law or any audit as required by the City. CHAMBER and Foundation shall make all books and records available on demand for audit by the City, its auditors, the Louisiana Legislative Auditor or any other auditor as required by law. CHAMBER and Foundation acknowledge that any commingling of public funds with other funds does not avoid the audit obligation of either CHAMBER and Foundation or the City and all funds and programs may be audited as required by the City or the Louisiana Legislative Auditor or any other auditor as required by law.
10. 2 Option to Audit. It is hereby agreed that the Legislative Auditor of the State of Louisiana and/ or the City auditors shall have the option of auditing all records and accounts of Chamber and Foundation that relate to this Agreement.
11. 3 Audit of Contractor/ Subcontractor. Any contractor or subcontractor paid under this Agreement shall maintain all books and records pertaining to this Agreement for a period of three ( 3) years after the date of final payment under the prime contract and any subcontract entered into under this Agreement.
12. 4 Records and Fiscal Control. All payroll and financial records pertaining in whole or in part to this Agreement shall be clearly identified and readily accessible to the City. Such records and documents shall be retained for the period of time as required by Louisiana law or any other applicable law. Any records and documents that are the subject of audit findings shall be retained for a longer period of time until such audit findings are resolved.
13. 5 Access to Records. The City and its duly authorized representatives shall have access to the books, documents, papers and records of CHAMBER and Foundation that are pertinent to this Agreement. ARTICLE 9 AMENDMENTS IN WRITING
14. 0 This Agreement constitutes the entire understanding between the parties and supersedes any prior discussions, negotiations, or representations among them regarding the subject matter. Any alteration, variation, modification, or waiver of provisions of this Agreement shall be valid only when it has been reduced to writing, executed by all parties and approved by the Mayor of the City and/ or the Contract Monitor. Any requests by City for additional services of CHAMBER and/ or Foundation which are not entailed in the scope of this Agreement must be confirmed in writing and executed by both parties. ARTICLE 10 TERM OF CONTRACT
15. 0 The Effective Date of this Agreement shall be the date on which all parties have signed this Agreement and shall remain in effect from the date of its execution and shall terminate three ( three) years after execution date, unless terminated earlier pursuant to Article 5 of this Agreement with notice being provided as stated in Article 13. Further, this Agreement shall have two ( 2) annual renewal options. If an annual renewal option is exercised it will extend this Agreement for an additional one ( 1) year period upon agreement by all parties. All such renewals shall be in writing and executed by both parties, and such renewals shall be at the discretion of the Mayor and without the necessity of further council approval. ARTICLE 11 DISCRIMINATION CLAUSE
16. 0 CHAMBER and Foundation agrees to abide by the requirements of the following: Title VI and VII of the Civil Rights Act of 1964, as amended by the Equal Opportunity Act of 1972, Federal Executive Order 11246, the Federal Rehabilitation Act of 1973, as amended, the Vietnam Era Veteran' s Readjustment Assistance Act of 1974, Title IX of the Education Amendments of 1972, the Age Act of 1975, and the CHAMBER and Foundation agrees to abide by the requirements of the Americans with Disabilities Act of 1990. CHAMBER and Foundation agree not to discriminate in its employment practices, and will render services under this Agreement without regard to race, color, religion, sex, sexual orientation, national origin, veteran status, political affiliation, or disabilities. Any act of discrimination committed by the CHAMBER and Professional,, or failure to comply with these statutory obligations when applicable shall be grounds for termination of this Agreement. ARTICLE 12 SERVERABILITY
17. 1 The invalidity, illegality or enforceability of any, portion of any provision of this Agreement or the occurrence of any event rendering any portion or provision of this Agreement void shall in no way affect the validity or enforceability of any other portion or provision of this Agreement. Any void provision shall be deemed severed from this Agreement, and the balance of this Agreement shall be construed and enforced as if this Agreement did not contain the particular' portion or provision held to be void. 18. 1 All notices, demands, requests, or other communications which may be or are required to be given by any party to any other party pursuant to this Agreement shall be in writing and shall be hand delivered, mailed by first class, registered or certified mail, return receipt requested, postage prepaid, sent by overnight express mail, postage prepaid, return receipt requested or transmitted by telegram or facsimile, addressed as follows: Central Louisiana Regional Chamber of Commerce Central Louisiana Regional Chamber of Commerce Foundation, Inc. 13. 2 Each party may designate by notice in writing a new address to which any further notice, demand, request or communication shall thereafter be so given, served or sent. Notice shall be deemed given for all purposes at such times as it is delivered to addressee ( with the return receipt, the delivery receipt, or with respect to a facsimile, the answer back being deemed conclusive evidence of such delivery) or at such time as delivery is refused by the addressee upon presentation. ARTICLE 14 GOVERNING LAW AND JURISDICTION
14. 1 It is the intention of the parties to this Agreement that all questions concerning the intention, validity, or meaning of this Agreement shall be construed and resolved according to the laws of. the State of Louisiana. All parties to this Agreement hereby agree that, in any action relating to this Agreement shall be exclusively filed, prosecuted, and defended before the 9th Judicial District Court, Parish of Rapides. ARTICLE 15 NON- APPROPRIATION& NONACCELERATION
15. 1 Notwithstanding any other provision of this Agreement, the City shall not be obligated for payment hereunder or by any provision of this Agreement unless and until the funds arc appropriated in the City ofAlexandria's budget.
16. 2 CHAMBER and Foundation acknowledge and agree that this Agreement is not subject to any acceleration. ARTICLE 16 NO IMPLIED WAIVER
17. 1 Either party' s failure to insist in any one or more instances upon strict performance by the other party of any of the terms of this Agreement shall not be construed as a waiver of any continuing or subsequent failure to perform or delay in performance of any term hereof. SECTION I: BE IT ORDAINED by the Council of the City of Alexandria, Louisiana, in legal session convened, that the Council hereby to declare surplus certain city owned tracts, parcels and lots of ground together with improvements located in Lots Five ( 5), Six ( 6) and Ten ( 10) of Power Center, a Subdivision of Tract 1A of a portion of Metrocenter and being properties commonly referred to as the City Call Center ( 1421 Wimbledon Drive) and the Incubator ( 1501 Wimbledon Drive) properties and related tracts and parcels; authorizing appraisals of properties; to authorize the mayor and administration to market and offer for sale tracts, parcels and lots with improvements for fair market value; authorizing the mayor to execute binding purchase agreements with third party purchasers and fixing the minimum price and terms of sale related thereto and otherwise authorizing the mayor to execute related agreements to enable the city to sale properties declared surplus and otherwise to provide with respect thereto. SECTION II BE IT FURTHER ORDAINED, etc., that this ordinance shall become effective upon signature by the Mayor; or, if not signed or vetoed by the Mayor, upon expiration of the time for ordinances to become law without signature by the Mayor. SECTION III: BE IT FURTHER ORDAINED, etc., that if any provision or item of this ordinance or the application thereof is held invalid, such invalidity shall not affect other provisions, items or applications of this ordinance which can be given effect without the invalid provisions, items, or applications, and to this end the provisions of this ordinance or hereby declared severable. SECTION IV: BE IT FURTHER ORDAINED, etc., that all ordinances or parts of ordinances in conflict herewith are hereby repealed. THIS ORDINANCE was introduced on the 29th day of October.
